  • Prepared corporate formation documents and business registrations and obtained all licenses for the firm.Developed the firm's risk management guidelines and procedures. Notable Achievement: After more than a year of operation, the firm did not have a single claim of any type filed against it.
  • Handle client matters such as contract drafting, review and negotiation; corporate formations and amendments; licensing assistance; and dispute resolution. Notable achievements: (1). Assisted a private party in a land sale with a national retail chain. Obtained a $200,000 increase to the final sale price and negotiated additional contractual conditions to protect the client's interests. (2). Assisted a team of investment property owners in negotiating a settlement and drafting a settlement agreement with a property management firm. (3). Assisted two investors in setting up an LLC, creating a partnership agreement, purchasing property, and obtaining financing for a commercial and retail development.
  • Oversee day-to-day operations, including payroll, finance issues, vendor relations, and employee matters.
  • Established procedures to ensure compliance with various employment regulations, including the FMLA, FLSA, COBRA, and EEOC regulations.
  • Manage all client trust accounts. Notable Achievement: In the firm's first year nearly 10,000 transactions were run through the firm's trust accounts without a material error.

  • Prepared all licensing applications and business registrations for the firm. Notable achievement: Identified numerous licensing and registration violations and successfully brought the firm into compliance without penalties.

  • Developed risk management guidelines and procedures for the firm and supervised the firm’s Compliance Officer.

Responsible for wide range of corporate legal functions for this $250-million industry leader providing environmental engineering and consulting services with more than 45 offices nationwide.

      Commercial Contracts:
  • Drafted and negotiated client, vendor and subcontractor agreements, both domestic and international, covering joint ventures and corporate teaming; confidentiality; software licensing; and employment contracts. Worked closely with business teams and senior business leaders to resolve complex contractual issues and negotiate terms and conditions into final contracts. Notable Achievement: Firm was selected for two multimillion-dollar projects contingent on strict conflict of interest agreements requiring the firm to terminate more than $2 million in agreements with other clients. Successfully negotiated and drafted more targeted conflict of interest procedures allowing firm to maintain all existing agreements while commencing the two new projects.
      Litigation/Negotiation/Conflict Resolution:
  • Worked with in-house legal staff and outside counsel on litigation matters including customer insolvencies, commercial/contract disputes, employment issues, and personal injury and workers’ compensation claims. Notable Achievements: (1) Successfully negotiated favorable resolution of a multiparty dispute involving a $1.2 million project halted midway with $400,000 owed to firm. Project was successfully completed and $400,000 was released to firm. (2) Phone and data services provider billed firm over $100,000 in erroneous charges. Performed review of contractual terms and personally negotiated with vendor to have entire claim dropped.
  • Supervised production of electronic data/information pursuant to discovery requests, and assisted in developing policies and procedures for streamlining electronic production.
      Compliance
  • Served as primary legal reviewer for hundreds of proposals submitted annually by the firm. Notable Achievement: Failure to comply with strict legal requirements can result in automatic disqualification costing tens of thousands of dollars per disqualification. While in this role, the firm never had a disqualification.
  • Reviewed new client projects for compliance with the firm's strict conflict of interest policy.
  • Conducted review and analysis of all political contributions made by the firm to ensure compliance with federal, state and local regulations.
      Intellectual Property:
  • Drafted policies protecting the firm's trademarks, copyrights and trade secrets.
  • Advised the firm's ultra violet (UV) water treatment technology implementation team on patent law and provided defensive strategies to avoid patent litigation often associated with UV technologies.
  • Assisted project teams with various intellectual property matters. Notable Achievement: Developed a license agreement for a sophisticated in-house computer-based financial model that became widely used by clients.
      Legal Assistance for Property Transactions:
  • Provided legal assistance to environmental engineering and consulting teams on all phases of property transfers, including investigations and clean-ups of contaminated sites, assistance with negotiations with regulatory agencies and due diligence for property purchases and mergers and acquisitions.
  • Assisted clients and project teams with zoning and permitting issues.
      Legal Research:
  • Provided extensive in-house legal education to the firm’s employees on engineering licensing matters maintenance of client confidentiality, and insurance coverage issues and limitations.
  • Provided legal support to project teams on issues involving environmental laws, municipal bidding and construction laws, building codes, OSHA regulations, and federal and state Freedom of Information Acts.
